Proposal to Merge Associations

Dear ACCO and WSCFC members:

The Boards of Directors of Agricultural Cooperative Council of Oregon (ACCO) and Washington State Council of Farmer Cooperatives (WSCFC) are pleased to propose a plan to merge the organizations into one organization, effective January 1, 2018.

Possible merger of the region’s co-op councils has been discussed for some 15 years or so. At the Annual Meeting in November, 2016 it was the vote of the membership to enter into discussions to pursue a merger of the state organizations. Initially, this conversation included Idaho Cooperative Council, but they have chosen to pull back from merger at the present time, perhaps to reconsider at a time in the future after ACCO and WSCFC have successfully merged.

As with any merger proposal, there are lots of questions. In this material, you will find a Frequently Asked Questions (FAQs) document that hopefully will begin to answer your most important questions. In addition, we invite your written questions, which we will do our best to answer in a timely fashion.

  • A combined ACCO/WSCFC financial statement,
  • A estimated 2018 budget,
  • A detailed description of the combined organization’s dues structure, and
  • Draft Merger Agreement.

You may wonder why we are announcing in July a merger that won’t take effect until January 2018. The simple reason is that the process to announce this proposal, provide for the 60-day clock required by:

WSCFC’s bylaws before voting can start, and ample time to tally votes cast, will take several months. Here is the proposed timeline for merger consideration:

  • July 14, 2017 – Notify ACCO and WSCFC members that the Boards of Directors of the two organizations approved a plan to
  • September 12, 2017 – Mail ballots to current ACCO and WSCFC members, inviting them to cast their vote for or against the merger
  • September 29, 2017 – Returned ballots must be postmarked by this
  • October 6, 2017 – Count
  • November 13, 2017 – Announce official merger vote results at the NRCI Annual Meeting
  • January 1, 2018 – ACCO and WSCFC merger
